A specially scheduled meeting of Oklahoma Housing Finance Agency’s (“OHFA”) Board of Trustees has been scheduled to be held at 10:00 a.m. on Wednesday, April 3, 2019 at 100 Northwest 63rd, Will Rogers Conference Room, Oklahoma City, Oklahoma. The agenda for this meeting will be as follows:
- Announcement of the appointment of Ms. Joi Love as Resident Board Member of Oklahoma Housing Finance Agency.
- Consider approval of a Resolution commending Erma Jean Williams for her services as Resident Board Member of Oklahoma Housing Finance Agency. APPROVED
- Consider a Resolution approving Minutes of the January 30, 2019 meeting of the Board of Trustees. APPROVED
- Certification and award presentation.
- Consider a Resolution approving the Consolidated Annual Contributions Contracts (“CACCs”) to OHFA by the U.S. Department of Housing and Urban Development (“HUD”), and approving and ratifying the execution of said CACC Contracts, along with any and all additional documents relating to amendments of said contracts, by the Executive Director of OHFA.
- Report on 2019 HUD Budget concerning Section 8 programs.
- Consent Docket – The following items of business may be voted upon by a single vote of the Trustees without discussion, unless and except for any item which anyone of the Trustees desires to have discussion about at the meeting, in which case, each item so noted will be withdrawn from the Consent Docket and handled individually in order immediately following the completion of the Consent Docket: APPROVED
7.1 Consider a Resolution approving the sale under the OHFA TBA Program of GNMA/FNMA/FHLMC Certificates relating to Single Family Mortgages to be originated as a part of the ongoing origination program of OHFA; directing the staff to develop the documentation for the program; authorizing staff and OHFA officers to take such other actions as may be necessary or desirable for such purpose.
7.2 Consider a Resolution approving the sale of up to $25 million GNMA/FNMA/FHLMC certificates relating to Single Family Mortgages originated as a part of the ongoing origination program of OHFA; directing the staff to develop the documentation for and approving parameters for the sale of not to exceed that amount of said GNMA/FNMA/FHLMC certificates; authorizing staff and OHFA officers to take such other actions as may be necessary or desirable for such purpose.
7.3 Consider a Resolution amending Resolution #19-01-05 annulling the Transfer of Ownership of the Tax Credit Development known as Whispering Plains Apartments, Guymon, Oklahoma, OHFA #98-02-11 and approving the Substitution of Creek View Investors, LLC as the Managing Member of the Owner of the Tax Credit Development known as Whispering Plains Apartments, Guymon, Oklahoma, OHFA #98-02-11, subject to certain conditions and terms.
7.4 Consider a Resolution approving the Transfer of Ownership of the Tax Credit Development known as Brookstone Park of Durant, Phase I aka ParkRidge of Durant, Durant, Oklahoma, OHFA #01-02-05, from Durant Housing Associates Limited Partnership to 177 DROK, LLC subject to certain conditions and terms.
7.5 Consider a Resolution approving the Transfer of Ownership of the Tax Credit Development known as Brookstone Park of Durant, Phase II aka ParkRidge of Durant II, Durant, Oklahoma, OHFA #05-06-33, from Durant Housing Associates II Limited Partnership to 177 DROK, LLC subject to certain conditions and terms.
7.6 Consider a Resolution approving the Transfer of Ownership of the Tax Credit Development known as Emerald Greens aka Country Club Apartments, Norman, Oklahoma, OHFA #96-08-20 and #97-01-20, from PC Emerald, LLC to Emerald Greens Tenants in Commons subject to certain conditions and terms.
7.7 Consider a Resolution authorizing and approving the extension of the Term of Service with HoganTaylor, LLP, Certified Public Accountants, Oklahoma City, Oklahoma, as OHFA’s Independent Certified Public Accountants for a period of one year; fixing compensation thereunder and authorizing the execution of the engagement letter on behalf of OHFA and its Board of Trustees.
- Consider a Resolution directing staff to develop the documentation for and approving parameters for the issuance of Single Family Mortgage Revenue Bonds, including any refunding bonds (collectively, the “bonds”) of the Oklahoma Housing Finance Agency (“OHFA”); providing for the structuring and securing of the bonds; authorizing redemption of certain outstanding bonds and the related sale of all or a portion of the Guaranteed Mortgage Securities securing said outstanding bonds; and authorizing staff and OHFA officers to take such other actions as may be necessary or desirable for such purpose. APPROVED
- Consider a Resolution authorizing the inducement of the issuance of Multi-Family Bonds for the acquisition and substantial rehabilitation of Apache Manor Apartments and Sandy Park Apartments in Tulsa, Oklahoma. Any competitive bidding for the sale thereof is waived. APPROVED
- Consider a Resolution authorizing the Issuance of Revenue Bonds of the Oklahoma Housing Finance Agency in an aggregate principal amount not to exceed $14,000,000, waiving competitive bidding for the sale thereof, and providing for the pledge of revenues for the payment of such Bonds; authorizing a Trust and/or Financing Agreement appropriate for the protection and disposition of such revenues and to further secure such Bonds; authorizing a Tax Regulatory Agreement and one or more Land Use Restriction Agreements, and authorizing other documents and actions in connection with the Sale and Issuance of such Bonds for the rehabilitation of Deer Park Apartments in Lawton, Oklahoma, OHFA File #17-08-49. APPROVED
- Report on building emergency declaration with State of Oklahoma Construction and Properties for replacement of OHFA office building HVAC rooftop chiller system and selection of architect for building remodel.
- Consider a Resolution authorizing the placement of OHFA’s Directors and Officers, Employment Related Practices and Fiduciary Liability Insurance coverage and Cyber Liability Insurance coverage and authorizing and approving the payment of the premiums for said coverages.
- Report on Cost Center Analysis.
- Any business not known about or which could not have been reasonably foreseen prior to the time of posting of this Agenda.
